A brand name displayed on the Site may be owned by Iconix but licensed to an independent company. A retailer, ecommerce operator, fulfilment provider or licensee may therefore be separately responsible for products, orders, returns or services it provides from its own website which are accessed through the Site.
3. Eligibility
You must be legally capable of agreeing to these Terms.
If you are under the age of legal majority where you live, you may use the Site only with the involvement and consent of a parent or legal guardian.
The Site is not intended for children under 13. Children under 13 must not create an account, make a submission or provide personal information through the Site.
4. Changes to the Terms
We may revise these Terms from time to time. The revised Terms will apply from the effective date stated above.
Where required by law, we will give reasonable notice of material changes. Changes will not retroactively remove mandatory rights or materially alter completed transactions where prohibited.
Your continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.

8. Intellectual Property
The Site and its content, including text, graphics, photographs, videos, audio, software, code, layouts, designs, databases, brand names, logos and other materials, are owned by or licensed to Iconix and are protected by copyright, trademark and other intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for its intended purpose.
Except as permitted by law or expressly authorised in writing, you may not:
- copy, reproduce or republish Site content;
- distribute, sell, license or exploit Site content;
- modify or create derivative works;
- remove rights-management information;
- frame or mirror the Site;
- use content in merchandise, advertising or branding;
- register or use confusingly similar names, domains or social-media identifiers; or
- use Site content as input for commercial generative AI development.
No licence is granted by implication, estoppel or otherwise.
9. Trademarks
Iconix and the names, logos, slogans and trade dress of brands displayed on the Site are trademarks or other protected brand assets of Iconix, its affiliates, subsidiaries and licensors.
Use of a trademark without the owner’s prior written permission is prohibited, except for lawful nominative or descriptive use.
The appearance of a third-party trademark does not necessarily mean that the trademark owner sponsors or endorses the Site.
10. User Submissions
“User Submission” means content you voluntarily submit through the Site, excluding personal information provided solely for account, order or customer-service purposes.
You retain ownership of your User Submission. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format and display it only as reasonably necessary to operate the feature for which it was submitted, administer the relevant promotion or request, and exercise our legal rights.
We will request additional permission before using an identifiable person’s name, likeness, voice or submitted content in advertising where such permission is legally required.
You represent that:
- you own or control the necessary rights;
- the submission is accurate and lawful;
- it does not infringe intellectual property, privacy, publicity or other rights;
- it is not defamatory, deceptive, threatening or harmful; and
- you have obtained appropriate permission from identifiable individuals appearing in it.
Do not submit confidential information, trade secrets or content you do not wish to be handled in accordance with these Terms and the applicable feature notice.
We may remove or restrict a User Submission where we reasonably believe it violates these Terms, infringes rights or creates legal or security risk.

A notice should include:
- identification of the copyrighted work;
- identification and location of the allegedly infringing material;
- your contact information;
- a statement of good-faith belief that the use is not authorised;
- a statement, under penalty of perjury, that the notice is accurate and that you are authorised to act; and
- your physical or electronic signature.
We may forward the notice to the person responsible for the relevant content. Where the US Digital Millennium Copyright Act applies, a counter-notification may be submitted in accordance with applicable law.
12. Products, Orders and Transactions
Where ecommerce functionality is available, product listings, prices, promotions, availability, taxes, delivery, returns and order acceptance may be governed by separate terms supplied by the retailer or transaction operator.
Placing an order constitutes an offer to purchase. An automated acknowledgement does not necessarily constitute acceptance. The responsible seller may reject or cancel an order for legitimate reasons, including unavailability, pricing or description errors, payment failure, suspected fraud or legal restrictions.
Nothing in these Terms excludes mandatory consumer rights relating to product quality, conformity, cancellation, refunds, delivery or remedies.
Product colours and appearance may vary depending on display settings. Sizes and measurements are approximate unless expressly stated otherwise.
13. Promotions, Competitions and Prize Draws
A promotion, competition or prize draw will be governed by separate official rules. Those rules may address eligibility, entry periods, judging, prizes, publicity permissions, taxes and other material conditions.
If the official rules conflict with these Terms concerning the promotion, the official rules control.

You may continue to receive necessary account, order, security or administrative communications.
Text-message programmes, if offered, will be governed by additional disclosures covering consent, frequency, charges, opt-out instructions and support information.
15. Artificial Intelligence and Synthetic Content
The Site or related advertising may include content created or modified using software, artificial intelligence or other digital tools.
Where required by law, qualifying AI-generated or synthetic content will be disclosed in or with the relevant content. Such disclosures may state, for example, that an advertisement contains an AI-generated performer.
No content depicting or simulating an identifiable person should be understood as authorised by that person unless expressly stated.
Users must not:
- create or submit an unlawful digital replica;
- impersonate an identifiable person;
- use another person’s likeness, image or voice without required permission;
- remove a legally required AI disclosure or provenance indicator; or
- falsely represent synthetic content as authentic where doing so would be deceptive.
Iconix recommends a clear and conspicuous disclosure standard, review of synthetic-performer usage and retention of proof of disclosures and relevant consents.
16. Third-Party Websites and Services
The Site may link to third-party websites, social-media services, retailers, licensees or other services.
A link does not mean that we control or endorse the third party. Your interaction with a third-party service is governed by that party’s terms and privacy notice.
To the extent permitted by law, we are not responsible for third-party content, security, availability, products, services or data practices.

Subject to the foregoing, to the fullest extent permitted by law:
- we will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss;
- we will not be liable for loss of profits, revenue, anticipated savings, goodwill or data arising from non-commercial use of the Site; and
- our aggregate liability arising out of free use of the Site will not exceed the greater of US$100 or the minimum amount required by applicable law.
If liability arises from a purchase, the transaction-specific terms and mandatory consumer law will apply.
These limitations apply only to the extent they are fair, reasonable and enforceable in the user’s jurisdiction.
21. Indemnity for Commercial or Unlawful Use
If you use the Site on behalf of a business, or materially violate these Terms through unlawful conduct, you agree to indemnify Iconix against reasonably incurred third-party claims, losses and costs arising directly from that conduct.
This section does not apply to consumers to the extent prohibited by applicable law, and does not require indemnification for our own negligence or misconduct.
22. Suspension and Termination
You may stop using the Site at any time.
We may suspend or terminate access where reasonably necessary because of:
- material or repeated breach;
- fraud or unlawful conduct;
- a security threat;
- legal or regulatory requirements; or
- discontinuation of the relevant Service.
Provisions that by their nature should survive termination will remain effective, including intellectual property, disclaimers, liability provisions and dispute terms.
23. Governing Law and Disputes
23.1 Governing Law
For users resident in the United States, these Terms and any dispute, claim or controversy arising out of or relating to the Site, the Privacy Policy, any content available through the Site, or the relationship between you and Iconix shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-laws principles.
Nothing in these Terms shall deprive any consumer of protections afforded by mandatory laws of the country, state or jurisdiction in which that consumer resides.
23.2 Jurisdiction
Subject to Section 23.3 below, the parties agree that the state and federal courts located in New York County, New York shall have exclusive jurisdiction over any dispute arising out of or relating to:
- these Terms;
- the Site;
- any account maintained through the Site;
- communications associated with the Site;
- any products or services made available through the Site; or
- the relationship between you and Iconix.
The parties irrevocably submit to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens, except where such waiver is prohibited by applicable law.
23.3 Global Rights
If you are a consumer residing outside the United States, nothing in these Terms limits any mandatory rights or remedies available to you under applicable consumer-protection laws.
Where applicable law grants consumers the right to bring legal proceedings in their country of residence, those rights remain unaffected.
Nothing in these Terms prevents you from:
- bringing a claim where mandatory law permits;
- seeking assistance from a consumer-protection authority;
- submitting a complaint to a regulatory authority;
- exercising statutory rights relating to privacy, consumer protection or data protection; or
- pursuing any remedy that cannot legally be waived or restricted.
23.4 US Class Action Waiver
This Section 23.4 applies only to individuals whose principal residence is within the United States.
To the fullest extent permitted by applicable law, any claim, dispute or proceeding arising out of or relating to these Terms, the Site, the Privacy Policy, any products or services made available through the Site, or the relationship between you and Iconix shall be brought solely on an individual basis.
You agree not to bring, join, participate in, or act as a plaintiff, claimant, class representative, class member, private attorney general, or representative in any:
- class action;
- collective action;
- mass action;
- representative action;
- coordinated proceeding; or
- private attorney general proceeding,
against Iconix.
The court shall have no authority to consolidate the claims of multiple individuals or to preside over any representative, collective, coordinated, or class proceeding except where required by applicable law.
Nothing in this section shall limit:
- rights that cannot lawfully be waived;
- claims brought by governmental authorities or regulators;
- public enforcement actions; or
- any remedy that applicable law expressly prohibits from being waived.
23.5 Informal Resolution
Before commencing formal legal proceedings, either party is encouraged to provide written notice describing the dispute and the remedy sought and to attempt in good faith to resolve the matter informally.
Nothing in this section requires either party to delay or forego any legal remedy available under applicable law.
23.6 Injunctive Relief
Nothing in these Terms shall prevent either party from seeking temporary, preliminary or permanent injunctive relief, equitable relief, or other remedies necessary to:
- protect intellectual property rights;
- protect confidential information;
- prevent unauthorised access to systems or data;
- prevent misuse of trademarks or copyrighted materials; or
- prevent immediate and irreparable harm.
23.7 Limitation Period
To the extent permitted by applicable law, any claim arising out of or relating to the Site or these Terms must be commenced within one (1) year after the claim arose.
This limitation does not apply where:
- a longer period is required by law;
- the claim concerns rights that cannot legally be limited;
- consumer-protection law prohibits such a restriction; or
- privacy or data-protection legislation provides a different limitation period.
23.8 Severability
If any portion of this section is determined to be invalid, unlawful or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by applicable law.
If Section 23.4 (US Class Action Waiver) is determined to be unenforceable with respect to a particular claim or remedy, that claim or remedy shall proceed on an individual basis to the greatest extent permitted by law, and the remaining provisions of this Section 23 shall continue in effect.
23.9 EEA and UK consumers
If you are a consumer resident in the EEA or UK, you retain the protection of mandatory laws of your country of residence. You may bring proceedings in any court available to you under applicable consumer law.
24. Compliance with Trade Controls
You may not use, export or re-export the Site or its technology in violation of applicable sanctions, export-control or trade laws.
You represent that you are not prohibited by applicable law from accessing the Site.
25. General Provisions
If any provision is held unenforceable, it will be enforced to the maximum extent permitted or severed, and the remaining provisions will continue in effect.
Failure to enforce a provision is not a waiver.
You may not assign your obligations under these Terms without our written consent. We may assign these Terms in connection with a corporate restructuring, sale or transfer, subject to applicable law.
These Terms, together with documents expressly incorporated into them and applicable transaction-specific terms, constitute the agreement concerning use of the Site.
No person other than the parties has a right to enforce these Terms except where applicable law expressly provides otherwise.
